Overview:

This Sr. Transactions Counsel, Procurement & Operations position will be responsible for providing excellent and pragmatic commercial contracting support for the US business, including leadership and support for all types of procurement and sales and operations contracting. This individual will manage contracted paralegals and contracted attorneys and will work with Legal Department colleagues to establish a common approach to contracting that supports an efficient, high quality and client-focused experience. This individual will also manage and mature the Legal Operations functional area for the Legal department, with the objective of improving scalability and efficiency across people, process, and technology tools.

RESPONSIBILITIES / DUTIES:
· As part of this role, a successful candidate will be required to assess the Legal Operations maturity for the Department, including evaluating forms of agreements and playbook positions, standardizing risk profiles for contract provisions, and establishing contracting best practices. This attorney will also be on point to train the Legal Department and stakeholders across the Company (including executive leadership) on any new processes for engaging Legal contracting.
· This role supports both procurement, operations, and sales contracting, and the successful candidate will recognize the different points of leverage with large SaaS providers, top 10 insurers, and lab industry suppliers, as well as be familiar with market terms for such contracts.
· Negotiate, draft and support US contracting for company stakeholders worth millions of dollars revenue and annual spend for the Company.
· Work with Deputy General Counsel to develop and maintain Legal Department operating norms, policies, and resources.
· Optimize the department's use of technology tools for contract management, knowledge & matter management, and
· Efficiently manage outside contracted resources and assist Deputy General Counsel in optimizing resource spend.
· Be a thought leader in the department for best practices for Legal department operations and management, and lead implementation of continuous improvement projects
· Provide rapid, practical, pro-active business-oriented legal/commercial contract advice directly to business clients
· Support business clients in negotiating price, deliverables, services scope, warranty and other commercial terms.
· Apply innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk and foster long-term client relationships
· Other duties as may be assigned by the Deputy General Counsel from time to time.
QUALIFICATIONS:

REQUIRED
· 5+ years of experience as a licensed attorney with a top-tier law firm and/or in-house experience
· Advanced contract drafting skills, with an orientation to teach and train others in the department
· Able to lead deal teams in complex in- and out-licensing arrangements, M&A, and other transaction structures.
· Demonstrated leadership skills and team-orientation, with the ability to influence functional stakeholders and provide the business with pragmatic legal advice
· Strong, clear communicator, able to "decide it", and communicate legal issues and solutions clearly and concisely
· Demonstrated ability to think and decide quickly, and to communicate legal issues and solutions clearly and concisely
· Adept at thinking strategically and developing processes to enhance efficiencies and maximize leverage with limited resources
· Able to integrate and apply feedback in a professional manner
· Able to prioritize and drive to results with a high emphasis on quality and effective counsel
· J.D. degree from an accredited law school required.
· Licensed to practice law in a US state or DC.

DESIRED
· Strong command of US laws applicable to the medical device industry, healthcare, pharma, and health tech
· Knowledge of healthcare compliance considerations pertaining to US contracting on behalf of the company.
· SalesForce.com systems experience, implementation of contract management systems, and/or project management training
